1. Acceptance of Terms

By accessing or using NoteGod ("the Service"), operated at notegod.io, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and NoteGod ("we", "us", or "our").

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

NoteGod is a note-taking platform that allows users to create, organize, encrypt, and share notes. The Service includes features such as:

  • Rich text note editing with WYSIWYG editor
  • AES-256-GCM encryption for note content
  • Offline access via Progressive Web App (PWA) technology
  • Google Drive synchronization and backup
  • Team collaboration with shared projects
  • Web Clipper browser extension

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

3. User Accounts and Responsibilities

3.1 Account Creation

To use most features of NoteGod, you must create an account. You may register using an email address and password, or through a supported third-party authentication provider (Google, GitHub). You must be at least 13 years of age to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep this information up to date.

4. Intellectual Property

4.1 Your Content

You retain full ownership of all content you create, upload, or store using the Service, including notes, attachments, and any other materials ("Your Content"). We do not claim any intellectual property rights over Your Content.

By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

4.2 Our Service

The NoteGod name, logo, website, application code, design, and all associated intellectual property are owned by NoteGod and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

5. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Store, transmit, or distribute malware, viruses, or other harmful code
  • Engage in any activity that disrupts, degrades, or interferes with the Service or its infrastructure
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Service to send spam, phishing emails, or unsolicited communications
  • Scrape, crawl, or use automated tools to extract data from the Service without permission
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Use the Service for any illegal purpose, including the storage or distribution of illegal content

We reserve the right to investigate violations and take appropriate action, including suspending or terminating accounts, reporting to law enforcement, and pursuing legal remedies.

6. Payment Terms

6.1 Free and Paid Plans

NoteGod offers a free plan with core features and paid subscription plans (Pro, Team) with additional capabilities. Pricing and plan details are available on our pricing page.

6.2 Billing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selected billing cycle). Subscriptions automatically renew unless canceled before the end of the current billing period.

6.3 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We do not provide prorated refunds for partial billing periods. If you believe you have been charged in error, please contact us within 30 days.

6.4 Price Changes

We reserve the right to change our pricing. We will provide at least 30 days' notice before any price increase takes effect. If you do not agree with a price change, you may cancel your subscription before the new pricing applies.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance. NoteGod's offline PWA functionality allows you to continue working with your notes during periods of unavailability.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • IN NO EVENT SHALL NOTEGOD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such cases, our liability will be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify and hold harmless NoteGod and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.

10. Termination

10.1 By You

You may terminate your account at any time by deleting it through your account settings. Upon deletion, your data will be permanently removed in accordance with our Privacy Policy.

10.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms. In cases where your account is terminated for violations, we may delete your data immediately.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will continue to apply, including intellectual property provisions, limitation of liability, indemnification, and governing law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you are located in a jurisdiction that grants you the right to bring claims in your local courts, in which case those rights are preserved.

12. Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the Service. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and delete your account.

13. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and NoteGod regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
